The following terms and conditions are intended to be fair to all parties concerned and to aid in the supply of services. This agreement represents the complete agreement and understanding between Alou Web Design and the account holder/client.

Guarantee Web Site Design:
Due to the high standard of our web design work we have the confidence to guarantee all our web design work 100%. Once we have completed the design, you will have the opportunity to view the site for approval. If at this time you are not completely satisfied with the appearance and functionality of your web design. If the design we provide does not meet or exceed your expectations, Alou will continue to work on your site at no additional charge until it does. 
We can't be any fairer than that. We take pride in all our satisfied customers and look forward to giving you the same level of service excellence. We Guarantee it 100%!

Pricing information:
All orders must be paid in full before the start of your project.
We accept Visa, Master Card, Amex, Discover & PayPal

Time Frame of completion:
Alou Web Design and the client must work together in a timely manner, to avoid missed deadlines. The client must supply Alou Web Design with any specific text, graphics, or other specific items for inclusion in a timely manner, unless agreed otherwise.

Website Content:
Text may be submitted on disk or emailed to Alou in standard PC word processing format, or typewritten, printed brochures and other printed materials.  If text is in paper format, Alou will only do basic text formatting, such as font color, size, style, bullets, indents, etc.  No tables / charts will be made for formatting.

Photos and graphics may be submitted to Alou on PC disk in any of the standard graphic formats or emailed directly to Alou.  Paper format should be the highest quality artwork or photos available for Alou to scan.  Make sure your originals are clear and clean.  Alou will resize your graphics to conform to your web page.  Alou will not accept graphics smaller than 2” x 2” or larger than 8.5” x 11”.

Hosting & Domain Name:
If not purchased prior by client website hosting and/or domain name will be purchased on behalf of client. Website hosting & domain name will be for a period of one calendar year from time of purchase. Alou will register clients name & address as the administrative contact/owner of domain. After completion of first year it is the clients responsibility to renew their contract with hosting company & domain registrar. It is clients responsibility to comply with all hosting policies. Hosting & domain name cannot be redeemed for cash or other services/products.

Online Payment & Shopping Cart Setup: (If Applicable)
In order for Client to accept online payments Client is responsible to signup either with PayPal.com (no signup fee) or 2checkout.com one time fee of US$49.00 to accept online credit card orders.

PayPal.com - Accept credit cards on your website using PayPal. There are no setup charges, monthly charges, or gateway fees. Non-Payments/NSF
In the event of the client delaying payment a surcharge of ten percent will be made on the outstanding balance per month. Alou Web Design reserves the right to suspend any or all services, until payment is received in full. A charge of US$30.00 will be charged on all NSF payments and or any other type of payment.

The Client will obtain all the necessary permissions and authorities in respect of the use of all copy, graphic images, registered company logos, names and trademarks or any other material supplied by client. The client represents to Alou Web Design and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Alou Web Design for inclusion in web pages are owned by the client, or that The client has permission from the rightful owner to use each of these elements. And will hold harmless, protect, and defend Alou Web Design and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.

Alou Design Credit on Website
A link to Alou Web Design will appear in small type & graphical format at the bottom of the first page on the website. The link will not cause users to leave the Client website, rather, it will open a new browser window to the Alou Web Design website or email address, at Alou Web Designs discretion. The link will typically state, "Design by Alou Web Design." This link may not be modified at any time without express written consent of Alou Web Design during the existence of the website for public viewing. Additionally, design credits to Alou Web Design will also be in the HTML code of each page, hidden from normal view, and may not be modified at any time without express written consent of Alou Web Design during the existence of the website for public viewing.

Website Search Engine Submission Software:
Website Search Engine Submission Software is provided free of charge to client. There is no warranty for this free software. This software cannot be redeemed for cash or other services/products.

Website Alterations by other parties:
Alou Web Design cannot accept responsibility for any alterations caused by client or third parties occurring to the clients pages once placed. Such alterations include, but are not limited to additions, modifications, deletions, stolen content, stolen domain name or hosting failure.

a) Server abuse
Any attempt to undermine or cause harm to a server, or customer, is strictly prohibited.

b) Unauthorized use and illegal activities prohibited by Alou:
The use or attempted use of an Internet account or computer without the owner's authorization. Such attempts include "Internet scamming" (tricking other people into releasing their passwords), password robbery, security hole scanning etc. We DO NOT allow adult, pornographic, nudity, obscene, warez, cracks, serialz or any other illegal content.

Any unauthorized use of accounts or computers by an Alou Customer, whether or not the attacked account or computer belongs to Alou, will result in action against the attacker. Possible actions include, account suspension, cancellation, civil or criminal legal action, and any other legal means of recourse depending on the seriousness of the attack.

DATA BACKUP
Whilst Alou Web Design shall use its reasonable endeavor to ensure that backup copies of the Web Site and all Client data contained in the Web Site are made, the Client shall be solely responsible for the backup of such data and Alou Web Design shall not be liable for any damages, loss, costs or other expenses arising out of or in connection with any loss of data by the Client which are due to the failure of the Client or Alou Web Design, or its partners to back up such data after site completion.

No Liability for Consequential Damages
Neither Alou Web Design nor anyone else who has been involved in the creation, production, or delivery of the website shall be liable to the client or any third party for any direct, indirect, special, consequential, or incidental damages (including but not limited to damages for the loss of profits or savings, downtime, business interruption, loss of business information, damage to or replacement of equipment and property, recovery or replacement of programs or data, or other pecuniary loss) arising out of the use, the results of use, or inability to use the website services, even if Alou Web Design has been advised of the possibility of such damages or claim. In any case, Alou Web Design's entire liability under any provision of this Agreement is limited to the pro rated amount actually paid by client for the website.

This Agreement is governed by the laws of the Province of Ontario, Canada. If for any reason a court of competent jurisdiction finds any provision of this license, or portion thereof, to be unenforceable, that provision of the license shall be enforced to the maximum extent permissible so as to effect the intent of the parties, and the remainder of this license shall continue in full force and effect. Each of the parties hereto irrevocably attorns to the jurisdiction of the courts of the Province of Ontario and further agrees to commence any litigation which may arise hereunder in the courts located in the Judicial Centre of Mississauga, Province of Ontario.

Force Majeure - "Greater Force"
Neither party shall be liable for any delay in performing or failure to perform its obligations hereunder to the extent that and for so long as the delay or failure results from any cause or circumstance whatsoever beyond its reasonable control (an "event of force majeure"), provided the same arises without the fault or negligence of such party and the affected party notifies the other party within three (3) working days of becoming aware of the same of such event of force majeure and the manner and extent to which its obligations are likely to be prevented or delayed, and provided also that the occurrence of any such event of force majeure shall not have the effect of discharging or postponing the affected party's payment obligations hereunder.
